Second Extraordinary General Assembly

Dear Member,

The Board of Directors of Mouvement Ecologique hereby cordially invites you to a Second Extraordinary General Assembly

Friday, 11 July 2025 at 6:00 PM at the
Oekozenter Pafendall, 6, rue Vauban, in Luxembourg City

Due to the new law on non-profit associations (Law of 7 August 2023 on associations without lucrative purpose and foundations), it has become necessary to adapt the statutes of the Mouvement Ecologique.
At the first Extraordinary General Assembly on 25 June 2025, the proposed changes by the Board as well as suggestions from members were discussed.

However, the legally required quorum of present members to approve the statutory reform (two-thirds of
all members) was not met.

For this reason, the executive board – as required by law – invites to a second Extraordinary General
Assembly, during which the final statutes will be voted on. For this assembly, no fixed quorum of present members is legally required. However, of course, it is desirable that as many members as possible participate in the vote on the statutes.

The statutory reform is the only item on the agenda of this second extraordinary General Assembly.

– a summary of the changes the Board considers important and which have been send to all members
befor the assembly of the 25 June.

Please find attached the draft statutes in French. An English version of the draft statutes will be available online starting Tuesday, July 3.

You will find the proposed statutes, as they have been discussed on the Extraordinary Assembly on
25 June in English. The translation has been done by deepl., legally binding is the French version. The statutes have to be discussed again on 11 July 2025 and their validation is the only point of the agenda.

After the meeting, you are warmly invited to the Mouvement Ecologique’s summer dinner.
Over some good food and drinks, we’ll enjoy a relaxed start into the summer holidays together.
Come join us, even if you haven’t actively participated in Mouvement Ecologique’s events before – it’s a great way to meet other members.
